Terms of Service
These Terms govern your access to and use of Servstead. By creating an account or using the Service, you agree to be bound by these Terms.
These Terms of Service ("Terms") are a binding agreement between you and Servstead, LLC ("Servstead," "we," "us," or "our") governing access to and use of the Servstead software, websites, mobile experiences, APIs, and related services (collectively, the "Service").
Effective date: July 3, 2026. If you do not agree to these Terms, do not access or use the Service.
1. Eligibility and account registration
You must be at least 18 years old and able to form a binding contract to use the Service. If you register on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at servstead@gmail.com if you suspect unauthorized access.
2. The Service
Servstead provides business management tools for service companies, including estimates, scheduling, invoicing, payments, customer records, job photos, team seats, client portals, and related features. Features may change, be added, or be discontinued at any time.
The Service is provided for general business operations. It is not legal, tax, accounting, insurance, or professional advice. You are solely responsible for compliance with laws applicable to your business, including licensing, consumer protection, employment, tax, and data-protection obligations.
3. Your content and customer data
You retain ownership of content you upload or create in the Service, including customer records, estimates, invoices, photos, messages, and business settings ("Customer Content"). You grant Servstead a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use Customer Content only as necessary to operate, secure, improve, and support the Service and as described in our Privacy Policy and Data Processing terms.
You represent and warrant that you have all rights necessary to submit Customer Content and to grant the license above, and that your Customer Content and use of the Service do not violate any law or third-party rights.
4. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. We may suspend or terminate access for violations.
5. Third-party services
The Service integrates with third-party providers such as payment processors, email providers, cloud infrastructure, optional bank connectivity, and AI services. Your use of those features may be subject to separate third-party terms. Servstead is not responsible for third-party products, outages, or acts.
6. Intellectual property
Servstead and its licensors own all rights in the Service, including software, branding, documentation, and design, except for Customer Content. No rights are granted except as expressly stated in these Terms.
You may not copy, modify, reverse engineer, decompile, scrape, resell, or create derivative works of the Service except where prohibited restrictions cannot be waived by law.
7. Beta and AI features
Some features, including AI-assisted estimates and automation, may be labeled beta or experimental. They may produce inaccurate, incomplete, or unsuitable output. You must review all outputs before relying on them for pricing, contracts, tax, or customer communications. Servstead disclaims liability for decisions made based on AI-generated content.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVSTEAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not guarantee that the Service will meet your requirements, that data will never be lost, or that defects will be corrected. You use the Service at your own risk.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVSTEAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SERVSTEAD FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
10. Indemnification
You will defend, indemnify, and hold harmless Servstead and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service; (c) your business operations, employees, subcontractors, or customers; (d) your violation of these Terms or applicable law; or (e) disputes between you and your customers, employees, or vendors.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, pose a security or legal risk, or if required by law.
Upon termination, your right to access the Service ends. Sections that by nature should survive (including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.
12. Changes to the Service and Terms
We may modify the Service or these Terms at any time. Material changes will be posted on https://servstead.com/terms with an updated effective date. Continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service before the effective date.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of North Carolina, excluding conflict-of-law rules.
Except for claims that qualify for small claims court or injunctive relief for intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis. YOU AND SERVSTEAD EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.
Either party may bring qualifying claims in the state or federal courts located in North Carolina, and both parties consent to personal jurisdiction there.
14. General
These Terms, together with the Privacy Policy, Billing terms, Data terms, Information Security Policy, and Acceptable Use Policy, constitute the entire agreement between you and Servstead regarding the Service.
If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
